Brazil’s current economic crisis has created many opportunities in the corporate / M&A arena. Not only are companies restructuring to achieve greater efficiencies but also greater flexibility on the sellers’ side (thereby resulting in lower multiples), the abundance of distressed assets and a devalued Real have led to more numerous M & A transactions in the last 12 months.
With this in mind, M&A lawyer Vanessa Soares Lanfranchi joined Montgomery & Associados, at the end of 2015, as Corporate Director, to enhance the firm’s M&A and private equity capabilities. She has already closed one transaction involving the acquisition of a local insurance brokerage company by one of the firm’s clients in the field and is currently working on two other disposals for a foreign client wishing to leave the country.

Vanessa, who holds an LLB from the University of São Paulo and an LLM from Berkeley University, has worked for more than 15 years at several top-tier Brazilian law firms and also in-house at investment banks and private equity companies.

Montgomery & Associados’ corporate team has also been invited to speak at this week’s “Corporate Day”, organized by the British Chamber of Commerce and Industry in Brazil (BRITCHAM). The event, which is to be held during the morning of Wednesday, 23rd March 2016, at the Brazilian British Centre in São Paulo, will address the legal and tax issues arising in connection with the life of Brazilian companies, from formation to liquidation.
The firm will be represented at the event by Helena Calderano, who will talk about company formation, and by Neil Montgomery and Vanessa Lanfranchi, who will address the legal implications usually associated with M&A transactions, both from the sellers’ and buyer’s side.
