On 31st May 2021, the Brazilian subsidiary of Frankfurt-based Bookwire GmbH, one of the leading international businesses in digital publishing technology, acquired 100% of the equity in Bok2, an active Print-on-Demand (PoD) provider since 2017 and which today holds a leading position in the Brazilian market.

The acquisition will extend the already comprehensive Bookwire OS – One Solution to include PoD services in Brazil. To this end, Bookwire will connect the PoD services offered by Bok2 to Bookwire OS. Brazilian publishing customers will therefore be able to organize the printing and distribution of their titles flexibly and centrally in the Bookwire OS.

“With Bok2, we gain a strong partner and important market player in the PoD sector in Brazil. The resulting synergies will enable us to accelerate our PoD implementation even further and therefore make the best possible use of the momentum of the internationally growing demand for PoD services, commented Marcelo Gioia, Managing Director at Bookwire Brazil.

Montgomery & Associados has acted as Bookwire’s Brazilian counsel since its expansion into the Brazilian market, in 2014, and has advised on all legal and tax aspects of its continued growth in Brazil, including the acquisition of Rio de Janeiro based DLD – Distribuidora de Livros Digitais, in 2017.

“Montgomery & Associados has again advised Bookwire Brazil in an M&A deal, having provided, in a singular manner, an extremely solid legal evaluation and fast service, besides being absolutely essential in the conduction of all acquisition-related processes, as well as fundamental for us to have achieved success in the project”, commented Marcelo Gioia, who also added that “M&A transactions are certainly conducted smoothly and efficiently by M&A (Montgomery & Associados).

Founding and Managing Partner Neil Montgomery lead the multidisciplinary team advising Bookwire on this deal. He was assisted by Drielle Amate Matta, Elisa Garcia Tebaldi, Renata Guimarães Thomaz Pereira, Bruna Manco de Assis, Pablo Christian Dias and Larissa Paganelli.

“We are always pleased to see our clients grow and thrive in their fields of business. They know they can always count on Montgomery & Associados, not only as their legal advisors but also as true business partners. It is with this spirit that we have built a close relationship with Bookwire from from the very outset, when one of its founders – Jens Klingelhoefer – reached out to us to establish its Brazilian subsidiary. We are very grateful for Bookwire having entrusted us with their legal work over all these years”, said Founding and Managing Partner Neil Montgomery. “It is also great to see that the Covid-19 pandemic has not prevented M&A deals from being closed, especially in the tech sector, which is booming.”

Bookwire Brazil also engaged IL Accounting as financial advisors. The sellers were advised by Sampaio e Katalan Advogados.
